Malta as a Maritime Jurisdiction


Malta has a long maritime tradition and has developed a strong regulatory and legal platform over the years. As a former British colony, it has a legacy of laws and regulations rooted in English maritime law and tradition. Malta has adopted all the major maritime conventions including SOLAS, MARPOL, the Tonnage Convention, and COLREGs.

Malta is on the white list of the Paris and Tokyo MOUs, signifying a high-quality flag and fewer port state control inspections for registered vessels. The Merchant Shipping Directorate offers a responsive and efficient 24/7 service for all registration-related matters.

Malta Shipping Companies

It is possible to establish a specialised corporate entity — a Shipping Organisation — under the Merchant Shipping Act, with a structure and organisation specifically tailored to the operation of ships and yachts. Such companies may obtain recognition as a ‘Shipping Organisation’ and thus benefit from Malta’s Tonnage Tax scheme.

A Maltese shipping company (whether a Shipping Organisation or a standard company) affords several corporate and fiscal advantages:

  • The lowest corporate tax rate in Europe, ranging from 0% to 6.25% (a general average rate for trading companies being 5%)
  • No withholding of taxes on outgoing payments of dividends, interest, and royalties
  • A wide network of double taxation treaties
  • Favourable VAT treatment on certain expenses in connection with the ownership and operation of ships, including certain repairs and maintenance

While it is not strictly necessary for a ship to be owned by a Maltese company, it is often the most advantageous route. Acumum Advisory can manage the entire company formation and vessel registration process on your behalf.

Registration Process

provisional and permanent


For both yachts and ships, registration begins with a provisional registration valid for six months (extendable for a further six months where documentation proves difficult to obtain). This allows the vessel to operate under the Maltese flag immediately while the documentation for permanent registration is finalised.

Documents required for provisional registration:

  • Application form and fee
  • Proof of qualification to own a Malta-flagged vessel
  • Appointment of a resident agent (required for international owners)
  • Declaration of ownership (sworn)
  • Ship Radio Station Licence (depending on equipment)
  • Bill of Sale (with apostille, if not witnessed in Malta)
  • Cancellation of previous registry (or declaration that the vessel was not previously registered)

Permanent registration is granted upon successful submission of all remaining documents, including survey documents and proof that the vessel carries all required markings. The provisional certificate is returned and exchanged for a permanent registration certificate. Permanent registry is renewable annually upon payment of the annual fee and any applicable tonnage tax.

A non-operational certificate is issued where technical requirements have not yet been met; this registers that the vessel may not sail until converted to an operational registration.

Yacht Registration & management

Malta promotes itself as a superyacht hub and claims the title of largest superyacht registry in the world. Situated in the middle of the Mediterranean Sea, its mild climate makes it an inviting destination for yachts year-round. Any person or company, irrespective of nationality or residence, may apply to register a yacht in Malta. Foreign owners register through the appointment of an authorised resident agent — a service Acumum Advisory provides.

Any vessel larger than 6m is eligible for registration under the Malta flag. Vessels between 6m and 12m may opt for the Small Ships Register, which allows them to operate in Maltese waters only (within 12 miles from the coast).

Private (Pleasure) Yacht Registration

Pleasure yachts are registered for private use by the owner(s) and cannot be chartered or hired out to third parties. They are registered with fewer formalities than commercial yachts.

Commercial Yacht Registration

Commercial yachts must meet the requirements of the applicable code depending on their build and intended use:

  • Commercial Yacht Code — applies to vessels over 15m used for charter purposes
  • Small Commercial Yacht Code — applies to yachts between 12–24 metres in length; may not carry more than 12 passengers
  • Commercial Passenger Yacht Code — applies to yachts that operate commercially, intend to carry more than 12 but fewer than 36 passengers (up to a maximum of 200 persons), do not carry cargo, and are engaged on international voyages

Commercial registration provides fiscal advantages through the ability to set off VAT incurred on expenses against the VAT applicable on charters, assisting the owner’s cash flow. Malta also offers attractive VAT leasing structures that can significantly reduce the effective VAT rate on the purchase of a yacht.

It is possible to switch between commercial and pleasure registration, and vice versa, with no limit on the number of switches. When switching from private to commercial, a survey is required to confirm that the requirements of the applicable code are met.

Provisional yacht registration can typically be completed within 2–3 working days, provided all necessary documentation is submitted correctly.

Ship Registration


Malta’s shipping register accommodates all types of merchant ships — tankers, floating platforms, bulk carriers, container ships, passenger ships — as well as ships under construction and bareboat charter registrations.

Bareboat Charter Registration

The Maltese flag permits the bareboat charter registration of foreign vessels under the Malta flag, or the foreign bareboat charter registration of Maltese vessels. The main requirement is the compatibility of the two legal systems. Bareboat chartered ships under the Maltese flag enjoy the same rights and privileges as ships registered in Malta and have the same obligations.

Ships Under Construction

Ships that are still being built or equipped are capable of being registered under the Malta flag, ensuring the protection of the rights of both the builder and the prospective owner in the transaction.

Mortgages

Ships registered under the Maltese flag are capable of being subject to a mortgage, which is a registrable charge on the vessel denoting the claim of a creditor. Mortgages rank according to the order in which they are filed, so that the time of filing is also noted.

Vessel Age Guidelines

  • Trading ships over 25 years old are generally not registered
  • Vessels between 20–25 years must pass an inspection by an authorised flag state inspector before or within one month of provisional registration
  • Vessels between 15–20 years must also pass an inspection before registration

The Tonnage Tax Scheme

Malta’s Tonnage Tax Scheme is an EU-approved system that provides significant fiscal advantages. 

Instead of being taxed on the actual profits from shipping activities, a shipping organisation is taxed based on the net tonnage of its fleet and pays a fixed annual tonnage tax.

The Malta tonnage tax regime may also extend to gains from the sale or transfer of qualifying tonnage tax ships and certain distributions of shipping profits, subject to the statutory and EU State aid parameters.

The regime is not available for all vessels or activities. Exclusions include fishing vessels, pleasure yachts, oil rigs not used for maritime transport, floating hotels or restaurants, certain gambling/casino vessels, non-ocean-going tugs, and other activities that compete with land-based businesses rather than constituting maritime transport.

The fixed Malta tonnage tax provides,  financial certainty and a highly competitive tax environment for shipowners.

Eligibility for Ship Registration

Any vessel can be registered under the Malta flag, provided it is wholly owned by:

  • A Maltese citizen or a Maltese company
  • A citizen of a European Union member state residing in Malta
  • An international owner, including a company or other legal entity formed under foreign laws — who must appoint a resident agent in Malta
